SolarDisclosure™ — Terms of Service

1. Acceptance

These Terms of Service (the "Terms") govern your access to and use of the SolarDisclosure™ website at solardisclosure.io and any associated services (collectively, the "Service"), operated by the SolarDisclosure operating entity, a Utah limited liability company ("SolarDisclosure," "we," "us").

By creating an account, placing an order, or otherwise using the Service, you ("you" or "User") agree to be bound by these Terms and by the SolarDisclosure™ Privacy Policy (incorporated by reference). If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and accounts

a. Eligibility. You must be at least 18 years old and capable of forming a binding contract under Utah law to use the Service.

b. Account types. The Service supports the following user roles:

• Real Estate Professional ("RE Pro") — real-estate agents, loan officers, title or escrow officers, appraisers, inspectors, and other licensed professionals.
• Homeowner — individuals creating accounts in connection with their own residential property (including FSBO sellers).

c. Account information. You must provide accurate, current, and complete information when creating your account and keep it updated. RE Pros must provide a valid professional license number and state of licensure where applicable.

d. Account security. You are responsible for safeguarding your password and for all activity under your account. Notify SolarDisclosure promptly of any unauthorized access at admin@solardisclosure.io.

e. One account per person. You may not create multiple accounts to evade limits, pricing, or enforcement actions.

3. Services and orders

a. Description. SolarDisclosure provides residential solar disclosure reports and related administrative services. Specific terms for individual reports and engagements are set out in the Authorized Agent Services Agreement (for direct-to-homeowner engagements), the RE Pro Subscription Agreement (for Subscribers), or the Per-Engagement Order Form (for orders placed by RE Pros).

b. Pricing. Current pricing is displayed at the time of order. Pricing may change with notice; existing orders are honored at the price in effect when the order was placed.

c. Payment. Payment is processed by Stripe, Inc. SolarDisclosure does not store full payment-card information.

d. Refunds. Refund eligibility is governed by the applicable engagement document.

4. Acceptable use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable law;
• Submit information that is false, misleading, or that misrepresents your identity, role, or authority;
• Use the Service to harass, defraud, or harm any other person;
• Scrape, mirror, or systematically extract data from the Service except as expressly permitted;
• Reverse-engineer, decompile, or attempt to derive the source code of the Service;
• Interfere with or disrupt the Service or the servers and networks supporting it;
• Misuse the SolarDisclosure™ name, logo, or brand assets except as expressly permitted by the Brand Usage Guidelines;
• Upload material protected by intellectual property rights of others without authorization;
• Upload material containing viruses, worms, or other malicious code;
• Use the Service to send unsolicited commercial communications to homeowners or other Users.

5. Communications consent

By creating an account, you consent to receive transactional emails from SolarDisclosure related to your account, orders, and subscription. You may opt out of marketing emails at any time; you cannot opt out of transactional communications while you have an active account or open orders.

6. SolarDisclosure rights

a. Suspension or termination by SolarDisclosure. SolarDisclosure may suspend or terminate your account, with or without notice, for: (i) breach of these Terms, (ii) suspected fraud or abuse, (iii) non-payment, (iv) loss of professional license required for your account type, (v) any conduct that materially damages or threatens the Service or its users.

b. Cancellation by you. You may cancel your account at any time. Subscription Fees, where applicable, are governed by the RE Pro Subscription Agreement.

7. Disclaimer of warranties

THE SERVICE AND ALL DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SOLARDISCLOSURE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. SOLARDISCLOSURE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY SPECIFIC OUTCOME WILL RESULT FROM USE OF THE SERVICE.

SOLARDISCLOSURE IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. NOTHING IN THE SERVICE OR ANY DELIVERABLE CONSTITUTES LEGAL, FINANCIAL, TAX, OR REAL-ESTATE ADVICE.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SOLARDISCLOSURE'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (a) AMOUNTS YOU PAID TO SOLARDISCLOSURE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100). SOLARDISCLOSURE IS NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

9. Indemnification

You agree to defend, indemnify, and hold harmless SolarDisclosure from any third-party claim arising from your breach of these Terms, your misuse of the Service, your violation of any applicable law, or your misrepresentation of your role, authority, or relationship to any homeowner or property.

10. Modifications

SolarDisclosure may modify these Terms by posting an updated version at solardisclosure.io and providing reasonable notice. Your continued use of the Service after the effective date of an update constitutes acceptance.

11. Governing law and venue

These Terms are governed by the laws of the State of Utah. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah.
