Data Partner Subscription Agreement

This Data Partner Subscription Agreement (the "Agreement") governs your subscription to the SolarDisclosure permit-data feed (the "Service") provided by SolarDisclosure ("SolarDisclosure," "we," "us"). By subscribing or using the Service you ("Subscriber," "you") agree to this Agreement, which incorporates by reference our Terms of Service and Privacy Policy. Where this Agreement conflicts with the general Terms of Service on a data-feed-specific matter, this Agreement controls.

1. The Service

The Service provides access to a feed of solar-related building and electrical permit information compiled primarily from public records, together with derived signals, summaries, and enrichment (the "Data"). We may update, add, or remove features and data sources at any time.

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Data for your own internal business purposes. You may not:

4. Your Compliance Obligations & Indemnification

You are solely responsible for how you use the Data, including any outreach to property owners or other individuals. You agree to comply with all applicable laws and regulations, including without limitation the Telephone Consumer Protection Act (TCPA), the National and state Do-Not-Call rules, the CAN-SPAM Act, and all applicable state telemarketing, consumer-protection, and privacy laws. You are responsible for scrubbing contacts against applicable Do-Not-Call lists and obtaining any required consents before contacting individuals.

Not a consumer report. The Data is compiled from public records and is not a "consumer report" and we are not a "consumer reporting agency" under the Fair Credit Reporting Act (FCRA). You agree not to use the Data, in whole or in part, for any purpose regulated by the FCRA — including eligibility for credit, insurance, employment, housing, or any other FCRA-permissible purpose.

You will defend, indemnify, and hold harmless SolarDisclosure from any claims, damages, penalties, or costs (including reasonable attorneys' fees) arising out of your use of the Data or your breach of these Terms.

5. No Warranty

The Service and Data are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied. We do not warrant that the Data is accurate, complete, current, or error-free, and we do not guarantee any particular result, lead quality, conversion, or revenue. Public-records data may contain errors, omissions, or delays.

6. Limitation of Liability

To the maximum extent permitted by law, SolarDisclosure will not be liable for any indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us in the three (3) months preceding the event giving rise to the claim.

7. Term & Termination

These Terms apply while you use the Service. We may suspend or terminate your access for any breach, non-payment, or misuse. Upon termination, your license to the Data ends and you must cease using it.

8. Changes

We may modify these Terms from time to time. Material changes will be posted here with an updated date; continued use after changes constitutes acceptance.

9. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles. The exclusive venue for disputes is the state or federal courts located in Utah.
